    Durbanville, Cape Town OR Midrand, Johannesburg 12-Month Contract | Potential to Go Permanent R45000 - R55 000 P/M  Negotiable based on Qualification & Experience Are you a seasoned Company Secretary / Governance professional with strong Board-level exposure, excellent governance knowledge and the confidence to engage with senior executives? Our client, a well-established organisation in the Waste Management sector, is seeking a senior, hands-on Company Secretary to take ownership of Board and Committee governance, statutory compliance and corporate governance processes. This is an opportunity for an experienced professional who brings leadership presence, maturity, sound judgement and exceptional attention to detail. We are looking for someone with leadership qualities and executive presence who can operate confidently in a senior corporate environment. One would describe you as a credible, confident, mature and approachable Co Sec professional. KEY RESPONSIBILITIES * Manage the full Board and Committee governance cycle, including quarterly meeting cycles, calendars and annual workplans. * Coordinate agendas, submissions, meeting arrangements and Board/Committee packs, including quality-checking and ensuring timely circulation. * Attend meetings and provide governance and procedural guidance to Chairs, Directors and Executives. * Prepare accurate minutes and maintain resolutions, action registers and conflict-of-interest registers. * Monitor outstanding actions and ensure decisions requiring implementation are communicated appropriately. * Advise the Board, Committees and Executive Management on governance, statutory and fiduciary matters. * Ensure compliance with the Companies Act, MOI, King IV and applicable legislation. * Maintain statutory records and coordinate CIPC submissions, director changes, annual returns, MOI amendments and beneficial ownership requirements. * Coordinate Board and Committee appointments, director documentation, declarations, consents and induction. * Support Board and Committee evaluations. * Identify governance risks and escalate material matters appropriately. * Liaise with CIPC and other relevant authorities where required. * Ensure corporate information and regulatory filings are accurate and up to date. QUALIFICATIONS & EXPERIENCE * NQF Level 8 qualification. * Ideally a Company Secretarial / Governance qualification; alternatively BCom Law, BA Law, LLB, Advanced Diploma in Law, Paralegal or relevant Governance qualification. * Strong King IV knowledge – essential. * Minimum 8 years+ relevant Company Secretarial / Corporate Governance experience. * Experience within a large corporate, listed, regulated or complex organisational environment would be advantageous. Experience in Waste Management, Recycling, Plastics, FMCG or Retail would be beneficial, but is not essential. * Strong practical knowledge of the Companies Act, statutory compliance and corporate governance. * Proven experience managing Boards and Board Committees, including Board packs, minutes, resolutions and submissions. * Experience advising and engaging confidently with Directors, senior executives and Committee Chairs. * Strong CIPC knowledge and experience. * Listed-company / NASDAQ experience advantageous. * Strong MS Office proficiency, particularly Word, PowerPoint and Excel. * Valid Code 8 driver’s licence and own reliable transport.
