Dis-Chem Pharmacies’ has an opportunity available for a P&C Governance & Compliance Lead to join the team based in Midrand. The purpose of the role is to establish and maintain robust governance, compliance, and risk management across all transformation activities, ensuring alignment with regulatory, ethical, ESG, and audit requirements, while protecting organizational credibility and reputation.
Minimum Requirements
Essential:
* Bachelor’s Degree in Human Resources, Law, Governance, or Business
* Minimum 3 - 5 years governance or compliance experience or BEE
Advantageous:
* Professional Certification in Risk or Governance or Auditing
* Exposure to Transformation Governance in regulated industries
Roles & Responsibilities Governance Framework, Strategy & Regulatory Alignment:
* Design, implement, and maintain transformation governance frameworks aligned to Strategy, Execution and Culture, Environmental, Social, Governance (ESG), UN Global Compact, and national regulatory requirements.
* Act as the central transformation governance authority, ensuring alignment with approved business strategy, mandates, and executive decisions.
* Embed governance standards consistently across People & Culture and all transformation initiatives.
* Establish and maintain clear transformation decision-making forums, escalation paths, approval thresholds, and accountability structures.
* Ensure benefits realization frameworks are governed, tracked, and independently assured.
* Monitor regulatory, governance, and ethical trends to proactively update frameworks and standards.
* Periodically assess governance framework effectiveness and maturity against leading practice and drive continuous improvement.
Risk, Ethics & People Governance Oversight:
* Maintain the transformation risk register, KRIs, and mitigation plans, ensuring proactive and preventative risk management.
* Govern the Gift Register, conflict-of-interest declarations, and adherence to the Code of Conduct across transformation portfolios.
* Lead ethics awareness initiatives and compliance monitoring within transformation programmes.
* Embed governance controls within change management, workforce transitions, and organizational redesign initiatives.
* Ensure people-related transformation impacts (role changes, capability shifts, DEI impacts) are assessed, documented, and appropriately governed.
* Provide governance oversight for workforce consultations and ensure compliance with applicable labour legislation.
Audit, Policy, ESG & Commission Engagement:
* Lead all engagements with the B-BBEE Commission and Competition Commission, including submissions, audits, and remediation actions.
* Ownership, management and execution of Quarterly and bi-annual GRC internal Audits with clear scope, methodology and processes.
* Develop, review, maintain, and enforce People & Culture policies, processes, and governance standards.
* Manage all P&C external audit processes, including planning, execution, response management, and closure of findings.
* Strengthen governance controls over ESG commitments, disclosures, and reporting accuracy.
* Ensure transformation initiatives support long-term sustainability outcomes and mitigate greenwashing and reputational risk.
* Partner with ESG owners to ensure audit-ready evidence and compliance with evolving ESG disclosure requirements.
Contracts, Third Party Governance & Due Diligence:
* Oversee People & Culture contractual governance to ensure legal compliance, ethical conduct, and risk mitigation.
* Lead due diligence on acquisitions, partners, suppliers, and beneficiaries linked to transformation initiatives.
* Establish third-party governance protocols, monitoring mechanisms, and ongoing compliance assurance.
* Anticipate and mitigate reputational risk arising from transformation partnerships, contracts, or public commitments.
Data, Reporting & Transparency:
* Define governance standards for transformation reporting, ensuring data integrity, auditability, and traceability of metrics.
* Ensure consistent, accurate, and timely governance reporting to relevant Executive and Board Committees.
* Maintain a single source of truth for transformation governance documentation, registers, approvals, and evidence repositories.
Stakeholder Advisory & Governance Stewardship:
* Serve as a trusted governance advisor to People and Culture and Internal Audit stakeholders.
* Serve as a trusted governance advisor to People and Culture due diligence stakeholders for acquisition and manage E2E and escalate risks accordingly.
* Ensure consistent governance positioning, messaging, and defensibility across regulatory, audit, and commission engagements.
